Independence of the Organizer

The organization of the competition, the management of applications, administrative and financial operations, as well as decisions relating to the conduct of the competition, are carried out from the United Kingdom. The Organizer acts as an independent service provider within the framework of a mandate concluded with the companies owning the restaurants concerned. It does not have any establishment, office, or permanent representative in France for the purpose of this operation.

Distinct Roles:

The companies retain full ownership of the restaurants and define their characteristics.
The Organizer exclusively manages the organization of the competition (registrations, jury, bailiff, communication, and more generally everything useful and necessary for the smooth running and realization of the operation).

The mandate contract is deposited with the bailiff SCP MERCADAL 47 Bis Boulevard Michelet 78250 Hadricourt along with the competition rules.

Who can participate:

The competition is open to all adults, regardless of their nationality or place of residence. Candidates must be able to meet the legal and administrative requirements for setting up, taking over, and operating a commercial activity in France.
The candidate must not be subject to judicial liquidation, judicial reorganization, or ongoing collective proceedings.

Excluded:

Staff members of the Organizer and the principal companies owning the restaurants concerned by the competition, their spouses, partners, cohabitants, ascendants, and descendants.
Persons under guardianship, conservatorship, or tutorship.
Anyone directly involved in the organization of the competition.

Participation limit:

Maximum 1 entry per person and per restaurant (i.e., maximum 3).

The 3 restaurants:

  2. SALADE MED (PAUSE SALADE) – 34 Patio des reflets 92400 COURBEVOIE Concept: Customizable salad bar, healthy, eat-in/take-out meals, Area: 96 m², Terrace: Yes.
  3. PASTA MED (PAUSE PASTA) – 35 Patio des reflets 92400 COURBEVOIE, Concept: Fresh pasta bar made to order, homemade sauces, fast-food format, Area: 94 m² Terrace: Yes.

The competition is a pure skills competition and involves no lottery or element of chance in the selection of winners.

Selection is based exclusively on the evaluation of participants' professional qualities, knowledge, and aptitudes, according to a structured process with several clearly defined steps:

Detailed Participation Questionnaire

Each participant completes a structured questionnaire covering, in particular:

  • the candidate's overall profile (professional background, business management experience, operational skills),
  • knowledge related to the products and concept of the restaurant concerned,
  • knowledge of hygiene, food safety, and applicable regulations,
  • entrepreneurial vision and strategic development project.

Analysis of responses by a dedicated jury

Responses are analyzed by a jury composed of 3 members appointed by the Organizer, who are experts in catering, business management, and commercial development. The jury evaluates each application against objective and predefined criteria, using a scoring grid (internal scoring scales per question). A ranking is established for each restaurant based on the results obtained in the questionnaire and the overall suitability of the candidate's profile with the concept.

Additional discussions for similar profiles

In the event of profiles deemed similar or very close in terms of scoring, the Organizer and/or the jury reserve the right to summon certain candidates for an individual interview (video conference, in-person, or other specified modality). This exchange aims to delve deeper into certain points (strategic vision, operational capacity, understanding of economic and regulatory challenges) and to fairly differentiate between candidates.

Supervision by a bailiff

The entire selection process (receipt of entries, analysis of responses, final ranking, designation of winners) is overseen by a bailiff, SCP MERCADAL 47 Bis Boulevard Michelet 78250 Hadricourt, responsible for verifying the regularity of operations and compliance with the competition rules. The bailiff draws up an official report of the selection and winner designation operations.

Sovereign decisions of the jury

The jury's decisions, made in strict compliance with the defined skill criteria, are sovereign and final. No appeal, of any nature whatsoever, may be made against the decisions of the Organizer, the jury, or the bailiff, except in the case of a manifest breach of the rules confirmed by a bailiff.

Prior to the jury's review, applications are pre-evaluated using an artificial intelligence system, focusing on professional and entrepreneurial experience, skills, motivation, coherence between the participant and the project, and, more generally, the suitability of the profile for the establishment's management requirements. This analysis establishes a ranking to determine which profiles are submitted to the Jury, which alone is competent for the final selection.

The competition allows participants to compete, through a skills-based process, for the award of the following operation for each restaurant concerned:

The opportunity to acquire 100% of the shares (social shares or stocks) of the company operating the restaurant concerned, under the conditions defined in this article.

Winner designation and transfer principle

The participant designated as the winner by the jury will be offered the transfer of 100% of the shares of the company operating the restaurant concerned, under the following conditions.

The transfer takes place after the close of the competition; it is subject to a separate deed of transfer.

It is carried out in accordance with applicable law and the articles of association of the company concerned.

 

Refusal or impossibility of transfer

In the event of:

  • the winner's refusal to proceed with the transfer,
  • legal or regulatory impossibility,
  • non-fulfillment of the conditions provided above,

the Organizer reserves the right to offer the transfer to the next candidate in the ranking, or to declare the prize unawarded.

No financial compensation may be claimed by the disqualified or defaulting winner.

Absence of performance or profitability guarantee

The transfer occurs as is, without guarantee of profitability, turnover, or future results.

The winner acknowledges:

having had access, prior to their participation, to the information presented on the competition website,

accepting the risks inherent in any commercial activity.

 

Independence between the competition and the transfer

The competition is a skills-based selection process.

The transfer is a distinct legal operation, subject to its own rules, formalities, and deadlines.

No legal or financial link of dependence exists between:

the participation fees,

the running of the competition,

the effective completion of the transfer.

Nature of participation fees (€50 per restaurant)

Participation fees are expressed as a final price.

Participation fees are exclusively intended to cover the organizational costs of the competition.

Competition closing conditions (per restaurant)

The competition ends and the winners are designated according to the first of the following two conditions to be met:

Condition 1: Reaching a minimum of 20,000 valid participants per restaurant.

Condition 2: Expiry of 12 months from the official opening of registrations.

The threshold and the closing date are verified by a bailiff.

In case of closure by Condition 2 (fewer than 20,000 participants):

The competition is finalized normally.

The best profiles according to the jury's ranking are designated as winners.

Participation fees:

do not constitute a sale price or a deposit,

do not confer any automatic right to the sale.

In accordance with the nature of the competition, the entry fee of €50 does not constitute the purchase of goods or services within the meaning of the Consumer Code. It is firm and final and cannot be refunded or exchanged, including in the event of non-selection, failure of the questionnaire, or withdrawal by the participant.

Cancellation of the competition due to force majeure

In the event of total cancellation of the competition due to force majeure, fees will be fully refunded within 30 days of the judicial officer's finding.

Practical details:

Refund by bank transfer to the account used for payment. – Bank charges to be borne by the participant.

This contest, its rules, and all relations between the participants, the Organizer, and the restaurant owning companies, are governed by French law.

Any related dispute shall be subject to the exclusive jurisdiction of the Paris court, notwithstanding the nationality or place of establishment of the Organizer.
